Bhagawati Hydropower's Lock-in Period Concludes for Key Shareholders, Signaling Potential Market Shift

Rohan PoudelBy Rohan Poudel

Kathmandu, Nepal – Bhagawati Hydropower Development Company Limited (BGWT) has officially announced the conclusion of the lock-in period for a significant portion of its shares, effective Bhadra 17th, 2083. This pivotal development, which impacts shares held by promoters, residents of the project-affected area, and company employees, is set to introduce a substantial volume of shares into the secondary market, potentially influencing BGWT's stock dynamics on the Nepal Stock Exchange (NEPSE).

The lock-in period, a standard regulatory measure mandated by the Securities Board of Nepal (SEBON), is designed to ensure stability and commitment from key stakeholders following an Initial Public Offering (IPO). For BGWT, this three-year restriction, which commenced after its IPO allotment, prevented these specific shareholders from selling their holdings immediately. The expiration of this period means that approximately 5.78 million units of shares, previously restricted, will now become freely tradable.

Specifically, the shares affected by this expiration include 5,086,799.25 units held by the company's promoters, 678,239.90 units allocated to residents of the project-affected area, and 20,347.20 units held by company employees. These figures represent a considerable portion of BGWT's total 6,782,399 units currently listed on NEPSE. The influx of these shares into the market could lead to increased liquidity, but also potentially higher volatility, as a large supply becomes available for trading.

Investors will be closely watching how the market absorbs this new supply. While increased tradability can enhance market depth and accessibility, a sudden surge in sell orders from these previously locked-in shareholders could exert downward pressure on the stock price. Conversely, if the company's fundamentals remain strong and investor confidence is high, the market may absorb these shares without significant disruption, or even see an upward trend if new investors are keen to acquire BGWT stock.

It is crucial for investors to note that, as per SEBON guidelines and BGWT's official notice, shares held by the Board of Directors and employees at higher management levels will continue to remain untradable even after this lock-in period concludes. This distinction is important as it ensures that key decision-makers maintain their long-term commitment to the company's success, mitigating concerns about immediate divestment by those most privy to the company's strategic direction.

Bhagawati Hydropower, operating in Nepal's burgeoning hydropower sector, plays a vital role in the nation's energy landscape. The company's performance and future prospects will undoubtedly be a key factor in how its stock performs post-lock-in. Investors are advised to conduct thorough due diligence, assessing the company's financial health, project pipeline, operational efficiency, and the broader sector outlook before making any investment decisions. The last closing price for BGWT was Rs. 597.00, and market participants will be keen to observe its trajectory in the coming trading sessions following this significant regulatory milestone. This event underscores the dynamic nature of the Nepalese stock market and the importance of understanding regulatory timelines for informed investment strategies.
