Mandu Hydropower's Share Price Adjusted Ahead of Crucial AGM and Dividend Distribution

The Nepal Stock Exchange (NEPSE) witnessed the share price adjustment of Mandu Hydropower Limited (MANDU) on Friday, Bhadra 5, as the company moved forward with its book closure for its upcoming Annual General Meeting (AGM) and proposed dividend distribution. This adjustment is a standard procedure undertaken by NEPSE to reflect the impact of bonus shares on the company's stock valuation, ensuring fair trading practices in the secondary market.

Specifically, NEPSE adjusted MANDU's share price to account for a 10% bonus share issuance. Following this adjustment, the company's share price was set at NPR 763.64. This new price was determined based on the closing price of the previous trading day, Thursday, when Mandu Hydropower's shares last traded at NPR 840 per unit in the secondary market. The adjusted price serves as the benchmark for the commencement of trading on the day of adjustment, allowing investors to trade shares ex-dividend or ex-bonus. This mechanism is crucial for maintaining market integrity and providing a clear valuation for investors considering new positions or managing existing ones.

Mandu Hydropower has scheduled its 14th and 15th Annual General Meeting for Bhadra 18, to be held at Nepal Banquet, Nayabazar, Kathmandu, commencing at 10:00 AM. This AGM is particularly significant as it will address several key proposals that directly impact shareholders and the company's future direction.

Among the most anticipated agendas, the AGM is set to deliberate and pass special resolutions concerning dividend distribution. The board has proposed a 10% bonus share from the accumulated profits up to the fiscal year 2081/82. In addition to this, a 12% cash dividend from the accumulated profits for the fiscal year 2082/83 has also been proposed. For tax purposes related to these dividends, a 0.5263% cash dividend will also be distributed. These dividend proposals highlight the company's commitment to returning value to its shareholders, reflecting its financial health and operational performance over the respective fiscal years. Investors often view bonus shares as a sign of a company's robust financial standing and its ability to reinvest profits while also rewarding shareholders. Cash dividends, on the other hand, provide immediate liquidity to investors.

Beyond the dividend proposals, the AGM agenda includes other vital corporate governance matters. Shareholders will be asked to authorize the Board of Directors to amend the company's memorandum and articles of association, a common practice to adapt to evolving regulatory landscapes or strategic objectives. The appointment of an independent auditor for the upcoming fiscal year will also be a key resolution, ensuring transparency and accountability in the company's financial reporting. Such corporate actions are integral to the lifecycle of publicly traded companies, offering shareholders a platform to engage with management and influence the company's trajectory.
