SEBON Unveils Draft Rules for Corporate Bonds and Debentures, Signaling Major Capital Market Expansion

The Securities Board of Nepal (SEBON) has initiated a significant step towards diversifying and deepening the nation's capital market by publishing the draft of the Debenture Registration and Issue Regulations, 2083 B.S. This pivotal move invites comprehensive feedback, suggestions, and comments from all stakeholders and the general public, underscoring SEBON's commitment to inclusive market development. At present, Nepal's capital market is largely dominated by equity instruments, with the corporate debt segment remaining relatively nascent. The introduction of these updated regulations aims to address this imbalance, fostering a more dynamic and liquid bond market. As part of its annual policy for the fiscal year 2083/84 B.S., SEBON has explicitly prioritized the development of an active corporate debt market. This strategic focus is designed to achieve multiple objectives: significantly increasing overall market activity, enhancing cash flow within the financial system, and enabling more effective management of financial risks across various sectors. For investors, this translates into new avenues for portfolio diversification beyond traditional equities, potentially offering stable returns and reduced volatility.
